Summary:

- Candidates should combine a strong financial skill set with strategic thinking in order to be able to execute M&A and joint venture projects successfully.
- Main task is the full-scope management of M&A transactions from target search to integration, with an emphasis on the deal execution phase.
- Candidates should be comfortable working independently as well as part of a team simultaneously on multiple projects.
- Reports to the Global Head of M&A (based in Germany), but works closely together with local resources based in US
Responsibilities:
- Manage and coordinate M&A transactions (buy-side and sell-side) and incorporate joint venture projects – from deal origination to post-merger integration.
- Perform company valuations (based on financial models).
- Prepare decision materials for key executives.
- Support business streams in the preparation and review of business plans.
- Plan and coordinate due diligence exercise in cooperation with internal stakeholders and external consultants.
- Support in the derivation of optimized transaction structures and contract design.
- Lead negotiations of share and asset purchase agreements as well as other transaction documents.
- Further develop and improve our M&A processes and tools.
- Support business streams in the identification of potential acquisition targets.
- Support business streams in the preparation of the post-merger integration.
Requirements:
- Strong knowledge of financial analysis, preparation and review of business plans as well as company valuation.
- Experience in project management and negotiation of complex matters / contracts.
- Excellent analytical and problem-solving skills.
- High level of motivation and readiness to take on responsibility.
- Ability to manage and prioritize multiple projects simultaneously.
- Ability to work under pressure and manage multiple projects at the same time.
- Excellent verbal and written communication skills.
- Enjoy working in interdisciplinary and international project teams.
- Proficient in Microsoft Office with excellent Excel knowledge.
- Proficient in English.
- Not a “must have”, but beneficial: network of advisors, experience in target identification and post-merger integration, prior experience in the TIC (testing, inspection, and certification) industry.
- Bachelor’s or master’s degree in Finance, Business Management, Economics, Engineering, Science, etc. or equivalent degree
- Relevant additional qualifications (MBA, PhD, CFA, etc.) are a plus
- Multiple years of professional experience in M&A Advisory, Investment Banking, Transaction Services, Private Equity or Corporate M&A
